1. Acceptance of Terms

By downloading, installing, or using Thoth, you agree to these Terms of Service. If you do not agree, do not use the app.

2. License Grant

Thoth grants you a personal, non-exclusive, non-transferable, limited license to use the app on devices you own or control, subject to these Terms and the App Store Terms of Service.

Requirements: macOS 26.0 (Tahoe) or later.

3. Subscriptions

Thoth Pro Subscription

  • Free Trial: New subscribers may receive a one month free trial
  • Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
  • Payment: Charged to your Apple ID account at confirmation of purchase
  • Management: You can manage and cancel subscriptions in your App Store account settings
  • Price Changes: We may change subscription prices; you will be notified in advance
  • Pricing: Monthly ($9.99/month), Annual ($79.99/year), Lifetime ($149.99 one-time)

Pro Features

  • Unlimited recordings
  • Unlimited recording duration (a warning is shown after 2 hours 30 minutes for WAV recordings, which approach the 4 GB file size limit)
  • System Audio recording (capture audio from apps like Zoom, Teams)
  • Mixed recording mode (microphone + system audio)
  • Advanced export formats (M4A, AAC audio; Markdown, RTF, JSON, PDF transcripts)
  • AI enhancements (cloud AI via your own API key, or local on-device AI models)
  • Large transcription model (higher accuracy)

Free Tier

  • Limited to 5 recordings total
  • Limited to 15 minutes per recording
  • Audio export: WAV format only
  • Transcript export: TXT format only

4. Recording Consent

You are solely responsible for complying with all applicable laws regarding recording conversations.

  • Always obtain consent from all participants before recording
  • Recording laws vary by jurisdiction (one-party vs. two-party consent)
  • Thoth is not responsible for any legal consequences arising from your recordings
  • The consent reminder shown during onboarding does not constitute legal advice

5. Local AI (On-Device)

Thoth includes on-device AI capabilities powered by open-source software and models:

  • Transcription: Powered by WhisperKit (MIT License), with swift-transformers and swift-jinja by Hugging Face (Apache 2.0). All audio processing occurs locally on your Mac
  • Local LLM: Powered by llama.cpp (MIT License), running models such as Meta Llama 3 (Llama 3 Community License) and Mistral (Apache 2.0 License)
  • Model Downloads: Model weights are downloaded once from HuggingFace. No user data is transmitted during download or inference
  • Accuracy: On-device AI outputs (transcriptions, summaries, enhancements) may contain errors. Always review results for critical use cases
  • Third-Party Licenses: Your use of local AI models is subject to their respective licenses (Meta Llama 3 Community License, Apache 2.0). Full texts are available in Settings → Third-Party Software

6. Cloud AI Features Disclaimer (Optional)

Thoth’s optional cloud AI features use third-party providers (OpenAI, Anthropic, Google) via your own API keys.

  • Data Transmission: When you use cloud AI features, relevant text data (e.g. transcript excerpts) is sent to your chosen provider. No audio is ever transmitted
  • Accuracy: AI-generated content (summaries, translations, enhancements) may contain errors
  • No Guarantee: We do not guarantee the accuracy, completeness, or reliability of AI outputs
  • Your Responsibility: Review all AI-generated content before relying on it
  • Third-Party Terms: Your use of cloud AI features is also subject to your chosen provider’s terms of service

7. Transcription Accuracy

Thoth uses on-device speech recognition technology.

  • Transcription accuracy depends on audio quality, accents, background noise, and other factors
  • We do not guarantee 100% accuracy
  • Always review transcriptions for critical use cases (legal, medical, official records)
  • Thoth is a productivity tool, not a professional advisory service. You assume all liability for the use of AI-generated text in professional, legal, or medical contexts

8. Intellectual Property

  • Thoth and its original content, features, and functionality are owned by the developer
  • Your recordings and transcriptions belong to you
  • You retain all rights to content you create using Thoth

9. Acceptable Use

You agree NOT to:

  • Use Thoth for any unlawful purpose
  • Record conversations without proper consent
  • Reverse engineer, decompile, or disassemble the app
  • Redistribute or resell the app or any part of it
  • Use the app in any way that could damage or impair it

10. Disclaimer of Warranties

THOTH IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DEVELOPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

We may terminate or suspend your license immediately, without prior notice, for any breach of these Terms. Upon termination, your license to use Thoth is revoked. Your existing recordings and transcriptions remain on your device.

13. Changes to Terms

We may modify these Terms at any time. Continued use of Thoth after changes constitutes acceptance of the new Terms.
